Company Formation & Ongoing Legal Support in Egypt

Whether you are entering the Egyptian market or running an established business, begin with the activity, ownership arrangements and decisions you need to make. We help define the legal work required in Egypt and agree how it will be coordinated with your management and advisers.

Establishing your company in Egypt

Start with how the business will operate: the goods or services, the participants, the intended premises and any activity-specific requirements to investigate. We discuss the available information before defining incorporation assistance and the documents to be prepared.

For an overseas investor, the scope can include coordination of Egypt-related legal questions with your advisers abroad. Foreign-law, tax, accounting and licensing work must be expressly allocated to the appropriate advisers rather than assumed to be included.

Discuss your company formation

Ongoing corporate legal support

Recurring support can suit a company with regular contracts, management decisions or questions that require coordinated legal input. Define the business units involved, a person authorized to instruct the office and the matters that should be escalated to management.

The engagement may cover review of recurring commercial documents, legal input on defined corporate decisions, an agreed work-priority list and coordination with internal or overseas advisers. Reporting arrangements, meetings, availability, fees and exclusions are agreed for your business; no fixed service level is implied.

Litigation, arbitration, specialist opinions and major transactions require an expressly agreed scope. A recurring engagement does not automatically include every dispute or project.

Discuss legal support for your business

Commercial disputes and arbitration

If a dispute is affecting the business, explain the agreement involved, the current stage and any notices or dates already received. The office can discuss the assistance required in Egypt and whether document review, negotiation or representation should form part of a separate engagement. The approach depends on the documents and circumstances.

What may your engagement include?

These are possible deliverables. Your agreement specifies what is included, what is excluded and the applicable fees.

  • An agreed scope identifying the Egypt-related work, responsibilities and exclusions
  • Company or commercial documents prepared or reviewed as specified in the engagement
  • A summary of identified questions, required decisions and agreed next actions
  • For recurring support, a work and reporting arrangement agreed with management

How we can help

  • Review of proposed activities, ownership arrangements and formation questions
  • Preparation and review of company and commercial documents within the agreed scope
  • Recurring corporate legal support and coordination with your management team
  • Discussion of commercial disputes and arbitration needs where relevant to the engagement

Before your consultation

Prepare a short business brief, proposed shareholder details, activity and location, and any existing company documents or drafts. For overseas investors, identify the entity giving instructions and any adviser already involved. The precise documents, translations and authorizations are identified after reviewing the proposed structure and activity; this is not a universal filing checklist.

What happens next

  1. Explain the business, investment or recurring legal need and identify the person giving instructions.
  2. Review the available documents and clarify scope, coordination and preliminary information needs.
  3. Agree deliverables, fees, responsibilities and any separate specialist work before starting.
  4. Carry out the agreed work and review next actions with your designated contact.

Can you coordinate with our advisers outside Egypt?

Coordination can be included in the agreed scope for Egypt-related work. Identify your advisers and the questions they are handling so responsibilities, document exchange and any foreign-law advice are clearly allocated.

Is there one document list for every new company?

No. The activity, legal structure and participants affect what must be checked. Share an initial brief and available records so the relevant requirements can be identified before filing.

Does ongoing support include every dispute?

No. The agreed scope determines what is included. Court proceedings, arbitration, large transactions and specialist work should be addressed expressly, including any separate fees.
